If such informal mediation is unsuccessful, then the parties, represented by counsel, shall, within thirty days after the informal meeting, mediate the dispute before a mutually acceptable retired judge or experienced attorney.  If said mediation is unsuccessful, either party shall have the right to resort to legal action.

The client’s sole remedy for any such modifications will be to non-renew the Order prior to the next Renewal Term. No failure or delay by either party to exercise any right, power, or remedy constitutes a waiver of that right, power, or remedy.  A party’s waiver of the performance of any obligation or breach is not to be construed as a waiver of any succeeding breach. The terms of any purchase order or acknowledgment form shall not in any way modify or supplement the terms of this Agreement.  The parties are independent contractors.

·If any provision of this Agreement is declared invalid by a court of competent jurisdiction, the provision will be ineffective only to the extent of the invalidity, so that the remainder of that provision and all remaining provisions of this Agreement will continue in full force and effect.
